Understand the ownership history before a transfer
In a loan or receivables sale, chain of title describes the sequence of ownership from the originating creditor through subsequent transfers. Assignment concerns a transfer of rights between parties. The documents and legal effect depend on the asset, agreements, and applicable law.
Why does chain of title matter?
A buyer needs to understand what the seller owns and what is being transferred. Ownership records should be considered alongside the account information and transaction documents. RMAI identifies account documentation and chain of title among the subjects addressed by its certification program.
Is a data tape the same as evidence of ownership?
No. An account-level summary and the records supporting a transfer serve different purposes. Ask how the accounts described in the portfolio connect to the relevant transfer documentation. A spreadsheet should not be treated as a substitute for legal review of the ownership history.
Why can fintech portfolios require additional attention?
The bank that originates a loan, the company servicing it, and its subsequent owner may be different entities. What should a seller discuss with its advisors?

If an entity name changed or multiple parties were involved, raise that context rather than assuming the records explain themselves.
Does clear ownership resolve every sale question?
No. Ownership history is one part of diligence. Contractual restrictions, account information, consumer protections, and other transaction-specific matters may require separate analysis. Neither this overview nor an industry certification establishes that a particular account is transferable or enforceable.
What if a document is missing?
Identify what is missing and seek qualified advice about its significance and whether additional records are available. Do not describe the chain as complete until the supporting information has been reviewed.
